I guess one of the updates must of mess with my VMware installation. It was working find the other day.I tried using a previous kernel (3.2.0.39) and disabling networking within the VM. using 3.2 32bit

from syslog right before the 3 reboots during troubleshooting.

*Edit tried re-install and disabling network. Also tried in a clean install on another drive same error.
