In the near future I will migrate my old Ubuntu box to a new server running Ubuntu 12.04 Server. On the old server we currently have some files shared with Samba and want to move them to the new server.

On this new server I want to setup an intranet site. Does anyone know how to implement whole shares (thousands of files) on the website with functionality same as SMB shares (maybe webDav)?

The main functionality that we need is to add some more details (comments) describing file in the share and more precise search engine.

Welcome to Ask Ubuntu! I believe you should rephrase your question a bit as it seems you're looking for a more general solution to a problem than just a migration of a Samba server and a web server. Are you perhaps looking for a Document Management System? It allows you to do versioning and annotations to files. –  gertvdijk Jan 25 '13 at 16:40
